Section 1

Acceptance of Terms

By purchasing, downloading, accessing, or using RegKit (the "Software"), you agree to these Terms of Service ("Terms") and the RegKit License Agreement ("License"), which is incorporated into these Terms by reference. If you do not agree to these Terms, do not purchase or use the Software.

If you are purchasing on behalf of a company or organisation, you confirm that you have authority to bind that entity to these Terms.

Section 2

Definitions

In these Terms, the following words have the following meanings:

  • "RegKit" / "we" / "us" means the RegKit software product operating under the laws of England and Wales.
  • "You" / "Licensee" means the individual or entity that has purchased a license to the Software.
  • "Software" means the RegKit source code, repositories, documentation, and any updates or supplementary materials provided under your license.
  • "Project" means a single deployed application or service as defined in the License Agreement.
  • "License" means the RegKit License Agreement governing your permitted use of the Software, available at regkit.dev/license.
Section 3

License Grant

Your purchase grants you a non-exclusive, non-transferable license to use the Software.

Current pricing is available at regkit.dev/#pricing. All licenses include 12 months of updates from the date of purchase. The full terms of each license — including what you may and may not do with the Software — are set out in the License Agreement, which forms part of these Terms.

Perpetual use

Regardless of whether you renew updates, you retain permanent rights to use the version of the Software obtained at the point your license or subscription lapses. Nothing is locked or revoked on non-renewal.

Section 4

Your Account

Access to the Software is provided via a copy of the stack chosen master repository which can be downloaded. You are responsible for maintaining the confidentiality of your account credentials and repository access.

You must not share, publish, or transfer your repository access to any third party, except as explicitly permitted by the License (for example, transferring a completed project to a client does not include transferring repository access).

You agree to notify us promptly at hello@regkit.dev if you become aware of any unauthorised access to your account.

Section 5

Payment & Billing

Payment is processed securely via Stripe. We do not store your card details. By completing a purchase you agree to Stripe's terms of service.

One-time purchases are charged in full at the point of purchase. Your license and repository access are activated immediately on payment confirmation.

Renewals are billed annually. Your subscription renews automatically on the anniversary of your purchase date at the then-current rate for renewal updates, unless you cancel before the renewal date.

If a payment fails, we will attempt to notify you and allow a reasonable grace period before suspending updates to your account. Your perpetual rights to previously obtained versions of the Software are unaffected by a billing failure.

Section 6

Refunds

We offer a refund on any purchase, subject to the following conditions:

  • The refund request is made within 14 days of the original purchase date.
  • You have not created any projects using the Software during that period.

To request a refund, contact us at hello@regkit.dev from the email address associated with your purchase. Approved refunds are processed via the original payment method within 5–10 business days.

Note on digital goods

By completing your purchase you request immediate access to the Software. This may affect your statutory right of withdrawal under UK Consumer Contracts Regulations. Our 14-day refund policy above applies in addition to, and does not limit, any statutory rights you may have.

Refunds are not available where a material breach of the License has occurred.

Section 7

Acceptable Use

You agree not to use the Software in any way that:

  • Violates any applicable law or regulation
  • Exceeds the permitted scope of your license tier
  • Involves sharing, publishing, or redistributing the Software source code or repository access
  • Involves using the Software as the basis of a competing product or service that is itself sold, licensed, or distributed to others
  • Involves removing or altering copyright notices within the Software
  • Involves any attempt to reverse-engineer, decompile, or circumvent the security or access controls of the repository or RegKit account system

We reserve the right to terminate access for any breach of these acceptable use terms, in accordance with Section 11.

Section 8

Intellectual Property

All rights, title, and interest in the Software — including all source code, documentation, and associated materials — remain the exclusive property of RegKit. These Terms and the License grant you usage rights only and do not transfer any ownership interest in the Software.

Any modifications you make to the Software for your own use remain subject to the terms of the License. You may not assert any intellectual property rights over the unmodified Software or any substantial portion of it.

Section 9

Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or compatible with all third-party services (including Stripe), frameworks, or infrastructure. It is your responsibility to verify that the Software meets your requirements before using it in production.

Section 10

Limitation of Liability

To the fullest extent permitted by applicable law, RegKit shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of, or inability to use, the Software. This includes but is not limited to loss of revenue, loss of data, loss of business, or service interruption.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the amount you paid for your license in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under the laws of England and Wales.

Section 11

Termination

Your license is automatically terminated if you materially breach any of the terms set out in the License Agreement (Sections 3, 4, 5, or 7 of that agreement) or the Acceptable Use terms in Section 7 of these Terms.

On termination for breach, you must immediately cease all use of the Software and destroy any copies in your possession.

Non-renewal does not constitute a breach. If you choose not to renew updates, your license is not terminated — you retain perpetual rights to use the version of the Software you obtained prior to lapse, and your existing projects are unaffected.

We reserve the right to suspend account access pending investigation of a suspected breach, and to terminate access on confirmation of a material breach. We will endeavour to provide notice where it is reasonable to do so.

Piracy & unauthorised distribution

This is the one circumstance in which perpetual use rights are revoked. If we determine that you have pirated the Software, shared repository access without authorisation, or redistributed the source code in violation of the License, the following consequences apply immediately and without exception:

  • Your license is permanently revoked with immediate effect
  • Your RegKit account is permanently closed and all repository access is removed
  • No refund will be issued, regardless of when the purchase was made
  • You must cease all use of the Software and destroy any copies in your possession
  • We reserve the right to pursue any and all legal remedies available under applicable law

Unlike ordinary non-renewal or even most license breaches — where you retain perpetual rights to what you have already obtained — piracy and unauthorised redistribution result in total and permanent loss of access, including to code already obtained. There are no exceptions to this.

Section 12

Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will notify you by email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Software after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you may request a refund in accordance with Section 6, provided the conditions for a refund are met.

The current version of these Terms, along with the effective date, is always available at regkit.dev/terms.

Section 13

Governing Law & Disputes

These Terms and any dispute or claim arising from or in connection with them are governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England and Wales for resolution of any such dispute.

If you are a consumer based in another jurisdiction, you may also have rights under the laws of your country of residence that cannot be excluded by this clause.
